Why governance matters

Good governance is how an organisation makes decisions, manages risk and stays accountable. Weak governance shows up as unclear roles, slow decisions, poor controls and lost trust from funders or investors. Strong governance makes it easier to raise money, win contracts and get through a change of leadership.

What we do

  • Governance reviews: an independent look at your board, committees, policies and controls, with practical recommendations.
  • Board support: board charters, committee terms of reference, board evaluations and induction for new members.
  • Policies and controls: finance, procurement, conflict of interest and delegation of authority policies.
  • Leadership structures: clear roles for the board, the chief executive and senior managers.
  • Leadership transitions: planning for a change of founder, chief executive or executive director.

Leadership development

Where a review shows that leaders need new skills, our Training team runs leadership and management courses that build on the findings.

Governance that funders, lenders and regulators recognise

In Sierra Leone, governance is often tested from outside. A donor asks for evidence of board oversight before releasing the next tranche. The Bank of Sierra Leone expects banks and microfinance institutions to show sound governance and risk management. A lender wants to see controls before approving a facility. Family businesses face their own questions when the next generation joins or when outside investors come in.

We review how decisions are really made, where the controls are weak and what the board needs to see, and then help you fix the gaps in a way that fits the size of your organisation. Read our article Leadership and governance: the foundation for sustainable success.

Frequently asked questions

Our funder has asked for stronger governance. Where do we start?

With a short review of your board, policies and controls against what the funder has asked for. We then give you a prioritised list of changes and help you put them in place.

Do you work with family businesses?

Yes. We help family businesses set clear roles, decision-making and reporting, especially when ownership is changing or outside investors are coming in.

Can you help a new board get started?

Yes. We can draft board and committee terms of reference, set an annual board calendar and help the board agree what reports it needs from management.

Do you provide board training?

Yes. Our training team runs leadership and management courses that build on the findings of the review.

Is the review confidential?

Yes. Interviews are confidential and the report goes to the people who commissioned it, usually the chair or chief executive.
